BY- LAWS FOR CARIBBEAN PROFESSIONAL ASSOCIATION, INCORPORATED


ARTICLE 1

Name
This organization shall be known as the Caribbean Professionals Association, Incorporated.

ARTICLE 2
Intent and Purpose
It is the intent and purpose that the said Association shall be organized and operated exclusively for cultural, educational, economic and civic purposes and no part of its income shall inure to the benefit of any individual and no substantial part of the activities of such association, or any recipient of its funds, shall be to carry on propaganda or otherwise attempt to influence legislation.

ARTICLE 3
Membership

Sec. 1 Types of membership shall consist of
(a) General Membership;
(b) Associate Membership.
Sec. 2 (a) General membership shall be open to anyone born within the geographic region known as the Commonwealth Caribbean and the offspring of any such person, regardless of place of birth;
(b) Associate membership shall be open to anyone born outside the Commonwealth Caribbean. An associate member has all voting and other rights accorded a general member but shall not be eligible to hold elective office.
Sec. 3 Annual dues shall be payable before February meeting of each year and shall be an amount which will be fixed from time to time by the organization's executive.
Sec. 4 The treasurer shall notify members delinquent in payment of dues if they remain unpaid for three months, and those members whose dues have not been paid within three months of notification will have their voting privileges revoked and their names removed from the mailing list.

ARTICLE 4

Officers/Executive Board
Sec. 1 The Executive Officers of the Association shall include President, Vice-President, Secretary, Treasurer and ex officio members; and shall have an elective term of one year, except ex officio officers who are appointed by the executive board. Terms of ex officio officers shall be concurrent with those of the elected board.
Sec. 2 Officers shall serve until their respective successors have been chosen.
Sec. 3 An officer may be removed from office by the members, with or without cause and only by a vote of a majority, but may be removed by the executive board, for cause.
Sec. 4 An officer may resign by written notice to the executive board.

ARTICLE 5

Meetings
Sec. 1 Meetings of the Association's executive board shall be held monthly. Notice of each meeting shall be given at least ten (10) days before the date of the meeting.
Sec. 2. A quorum of the executive board shall consist of three (3) members.
Sec. 3 Special meetings may be called by the president, executive board, or whenever four (4) voting members of the Association, in good standing, shall make a written request to the president for same, specifying the object of the meeting.
Sec. 4 Annual meetings of the Association shall be for the purpose of electing officers and approving other matters that the executive may submit to the general membership.
Sec. 5 At annual meetings the order of business shall be:
First - minutes of previous meeting
Second - reports of officers and board
Third - new business
Fourth - annual election and announcement of results
Sec. 6 No person not a member of the association shall be present at a meeting thereof unless he is invited by the president, the executive board or a member in good standing.
Sec. 7 A quorum shall consist of one-third of the paid up membership at general meetings.

ARTICLE 6

Procedure
Sec. 1 Where possible, meetings shall proceed as follows:
a) President calls meeting to order.
b) Reading of minutes of previous meeting and communications from other organizations.
c) Committee reports.
d) Old business.
e) New business.
f) Time, date and place of next meeting.
g) Adjournment.

ARTICLE 7

Elections
Sec. 1 Officers shall be elected at the annual meeting called for that purpose to serve for a term of one year.
Sec. 2 Officers shall be elected by a majority of the votes cast at the annual meeting by the members entitled to vote.
Sec. 3 Nominations may be made from the floor up to the day of the annual meeting.

ARTICLE 8

Duties
Sec. 1 President
(a) the president shall preside at all executive board meetings. The president shall preserve order and enforce the by laws and constitution of the association.
(b) the president shall decide all questions of order, subject to appeal by the membership.
(c) the president shall cast the deciding vote in all cases of a tie vote.
(d) the president shall countersign all checks exceeding five hundred dollars ($500)
(e) the president shall have the power to call a special membership meeting and/or a special executive board meeting, and no other business shall be transacted other than that for which the meeting is called.
Sec. 2 Vice-President
(a) in case of the resignation or temporary absence of the president, the vice-president shall perform the duties of the president until such vacancy can be filled by an election as provided in these by-laws, or until the president resumes his duties.
(b) the vice-president shall assist the president by performing duties assigned to him by the president or the executive board. The vice-president may appoint committees if so ordered.
Sec. 3 Secretary
(a) it shall be the duty of the secretary to keep the correct minutes of each meeting of the Association and properly file them for the Association's records.
(b) it shall be the duty of the secretary to carry on the correspondence of the Association and to file copies as required.
(c) with the aid of the treasurer, the secretary shall maintain a correct record of all members in good standing, their full names, addresses and telephone numbers.
Sec. 4 Treasurer
(a) the treasurer shall be the sole custodian of all funds.
(b) the treasurer shall disburse all funds at the direction of the President and the executive board.
(c) the treasurer shall issue an itemized account of monies received and disbursed by the Association every three months.
(d) the treasurer shall issue a fiscal year financial report to the general membership within sixty days of the close of the fiscal year.
(e) the collection of dues and other fees shall be under the jurisdiction of the treasurer.
(f) all monies received from any source shall be collected and recorded by the treasurer.
(g) the treasurer shall have charge of all securities and properties of the association and shall authorize, supervise and direct all disbursement of funds.
(h) the treasurer shall comply with and file a fiscal statement with the Internal Revenue Service as required by law.

ARTICLE 9

Amendments
Amendments to the by laws may be made at the annual meeting or at a special meeting called for that purpose by a two-thirds vote of those members present, provided that written notice of the proposed amendments shall be submitted to the executive board and approved by a majority vote of said board; and provided further that notice of the proposed amendments shall be given to all members by the secretary at least ten (10) days before the date of the meeting.

ARTICLE 10

Distribution of Assets
In the event of dissolution of this association the assets shall be distributed only through organizations that enjoy exempt status in accordance with the provisions of Section 501(c)(3) of the Internal Revenue Code of 1954 (26 U.S.C.A.) or the corresponding provision of any future United States Internal Revenue Law.
